Audi Group Strategic Shift: UST Acquires Majority Stake in Italdesign to Accelerate AI and Vehicle Innovation

In a significant move to reshape the future of automotive design and technology, the Audi Group has entered into a strategic partnership with UST, a global digital transformation company. As part of this agreement, UST has signed a deal to acquire a majority stake in the legendary design and engineering firm, Italdesign Giugiaro S.p.A..

This partnership marks a pivotal moment for Italdesign, which has been part of the Volkswagen Group since 2010. The collaboration is designed to combine Italdesign’s rich heritage in automotive engineering with UST’s advanced capabilities in artificial intelligence (AI) and digital platforms.

A New Era for Italdesign and Audi

While UST will assume operational responsibility and become the majority owner, the Audi Group maintains a strong foothold in the company. Automobili Lamborghini S.p.A., Italdesign’s current parent company under the Audi Group, will retain a significant stake. Furthermore, Audi will remain a strategic partner and a key client, ensuring continuity in the collaboration that has defined Italdesign’s reputation for over five decades.

Geoffrey Bouquot, CTO of Audi and Member of the Board of Management for Technical Development, described UST as the “ideal partner” to strengthen Italdesign’s foundation while opening new market opportunities.

Merging Heritage with High-Tech

The core objective of this acquisition is to create a powerhouse capable of supporting the development of software-defined vehicles (SDVs). The partnership aims to blend two distinct areas of expertise:

  • Italdesign: Deep knowledge in vehicle design, engineering, prototyping, small series production, and automotive electronics.
  • UST: Expertise in AI, software-defined vehicle development, digital ecosystem design, and embedded systems.

By merging these capabilities, the companies plan to offer a comprehensive, integrated range of services—from early concept and design to hardware and software development, and finally to production systems. This “one-stop shop” approach is intended to position Italdesign as the first global full integrator of hardware and software in the automotive sector.

Global Expansion and Operational Growth

Under the new ownership structure, UST plans to leverage its global footprint to expand Italdesign’s presence. With operations in over 30 countries, UST will enable the Italian firm to scale its integrated approach internationally.

UST CEO Krishna Sudheendra emphasized that the company’s role is to support Italdesign’s vision and honor its heritage while introducing new capabilities to foster growth. The transaction is currently subject to regulatory approvals, and financial details regarding the investment value have not been disclosed.
